MINUTES

1. Call to Order:

Regent Karen Bearden called the meeting of the Bylaws Committee of the Kentucky State University Board of Regents to order at 3:17 p.m. on April 24, 2014.

II. Roll Call:

Chairperson Whitehead asked the Secretary to conduct the Roll Call:

Regent Mindy Barfield, Present

Regent David Guarnieri, Present

Regent Ekumene Lysonge, Absent

Regent Syamala Reddy, Absent

Regent Charles Whitehead, Absent

Regent Karen Bearden, Present

Three Committee members were in attendance. There was no quorum.

III. Opening Remarks:

Regent Whitehead welcomed the attendees to the Committee meeting.

IV. Approval of Minutes:

Action: Motion was made to accept Committee meeting minutes of February 24, 2014 and October 24, 2013 by Regent Guarnieri and seconded by Regent Barfield. A quorum was not present.

V. Discussion of Committee Work:

Regent Bearden asked Committee members to provide any comments to a draft markup of the bylaws provided at a previous meeting by Regent Lysonge.

Board members requested that revisions be made to include changes to sections relating to the participation of board members via electronic means; board

member use of confidential information; and conflicts of interest. Ms. Davis will make these changes to the draft and present them at the next meeting. Additionally, Ms. Davis will review the updated draft to ensure that changes comport with existing law.

VI. Adjournment:

Action: Motion was made to adjourn the Committee meeting by Regent Guarnieri and seconded by Regent Bearden. The motion passed 3-0.

The meeting adjourned at 3:40 p.m.
