TOWNSHIP OF JACKSON RESOLUTION 192-2025

AWARDING A CONTRACT FOR M365 CLOUD COLLECTION, PROCESSING AND PRODUCTION TO FACILITATE OPRA REQUEST RESPONSE SERVICES FOR THE TOWNSHIP OF JACKSON TO KLDISCOVERY ONTRACK, LLC

WHEREAS, the Township of Jackson sought quotes for M365 Cloud Collection, Processing and Production to facilitate OPRA Request Response Services for the Township of Jackson; and

WHEREAS, it has been determined that KLDiscovery Ontrack, LLC has the expertise and equipment necessary to provide for M365 Cloud Collection, Processing and Production to facilitate OPRA Request Response Services; and

WHEREAS, it is the desire of the governing body to award a contract for M365 Cloud Collection, Processing and Production to facilitate OPRA Request Response Services for the Township of Jackson to KLDiscovery Ontrack, LLC.

NOW, THEREFORE, BE IT RESOLVED by the Township Council of the Township of Jackson, County of Ocean, State of New Jersey, as follows:

That the governing body does hereby award a contract for M365 Cloud Collection, Processing and Production to facilitate OPRA Request Response Services for the Township of Jackson to KLDiscovery Ontrack, LLC, as set forth in the proposal attached hereto and incorporated herein as Schedule A.

That the Mayor and Township Clerk are hereby authorized to execute a Master Service Agreement with KLDiscovery Ontrack, LLC. In accordance with the terms of this Resolution.

That the contract shall be an open-ended contract with funds being encumbered contingent upon the availability of funds in the budget year. The term of the contract shall be for a period of 12 months, with the option to renew for additional 12-month periods/two (2) years, with the option to renew for four additional 12 month/one (1) year periods as per N.J.S.A. 40A:11-15(8). No services shall be rendered under the contract until the Chief Financial Officer has certified the availability of funds for such services.

That a certified copy of this resolution, together with a copy of the contract between the parties, shall be provided by the Township Clerk to the Chief Financial Officer and KLDiscovery Ontrack, LLC
