The Scottish Enterprise Board has recently endorsed changes to the operation of the Remuneration Committee which will take effect from 2026-27. To enhance efficiency and co-ordination of oversight, the current remit of the Remuneration Committee will be combined with that of the current Nominations and Governance Committee to form a new People and Governance Committee.

The Nominations and Governance Committee provides a strategic overview of the organisation's senior executive and non-executive leadership. This includes undertaking an annual review of the structure, size and composition of the Scottish Enterprise Board and Executive Leadership Team, with particular regard to the skills, knowledge and experience required, and making recommendations to the Chair, the Board and the Scottish Government where changes are considered appropriate.
The Committee supports the Chair in the appointment of the Chief Executive, considers appointments to the Executive Leadership Team and advises the Board on appointment of members to the Board Committees. It also keeps our governance arrangements under review, including overseeing a regular Board effectiveness review.
The Committee is appointed by the Scottish Enterprise Board from among the non-executive members and comprises of at least three members. It is chaired by the Scottish Enterprise Chair and normally meets at least twice a year.
As noted previously, the Scottish Enterprise Board has recently considered changes to its subcommittee structure. From 2026-27 a new People and Governance Committee will be established, merging the current Nominations and Governance Committee and Remuneration Committee. The new Committee will assume the responsibilities of the existing Nominations and Governance Committee, with an expanded remit.
