Kentucky State University is a public, comprehensive, historically black land-grant University serving approximately 2,300 full-time and part-time students from around the world. The University is located at 400 East Main Street Frankfort, Kentucky. The University's 914-acre campus includes a 311-acre agricultural research farm and a 306-acre environmental education center.

Kentucky State University requests to improve/upgrade Audio/Visual (A/V) services in areas that provide student programming (in-person or remote) particularly in larger spaces. These areas have been identified in William Exum Center (entire arena side), David H. Bradford Hall (Carl H. Smith Auditorium, little theater and lobby), Carl M. Hill Student Center Ballroom, and Julian M. Carroll Academic Services Building Auditorium. Currently, audio/visual services in these areas do not allow Kentucky State University to provide optimal programming for students.

The University's acceptance of the vendor's offer in response to the solicitation, indicated by the issuance of a contract award by Kentucky State University, shall create a valid contract between the Parties consisting of the following:
