KENTUCKY STATE UNIVERSITY BOARD OF REGENTS CONFIDENTIALITY AGREEMENT

I understand and agree that any and all information I review, inspect or otherwise receive as a member of the Board of Regents (the "Board") of Kentucky State University is being received by me solely in connection to my work as a Board member. All such information is strictly confidential and proprietary and no such information should be shared with any other person, unless I am specifically directed to do so by the Chairperson of the Board of Regents, by subpoena, or by a court of law. In addition, I understand that discussing such information is a breach of my agreement to maintain confidentiality. I also understand that such a breach may negatively affect the work, mission, property interests or reputation of Kentucky State University. I understand, acknowledge and agree that I have a fiduciary responsibility to Kentucky State University and that said responsibility includes the duty of confidentiality. Therefore, I will not discuss or disseminate any information or details concerning any Kentucky State University files, personnel, faculty, staff or students (collectively, the "Information") outside of official Board meetings or with any person who is not a member of the Board of Regents, unless specifically directed to do so by the Chairperson of the Board of Regents, by subpoena, or by a court of law. I acknowledge and agree that the Chairperson of the Board is the sole spokesperson for the Board and that no other Board member may speak on behalf of the Board, unless directed to do so by the Chairperson of the Board. Furthermore, I shall not use any of the Information for any purpose except for Board matters. I understand that maintaining confidentiality is a condition of my service as a Regent and that any breach of confidentiality may result in Board action, including action to have me removed from the Board.

I agree to take the following minimum safeguards with respect to the Information:

• oAll Information I receive as a Board member shall be maintained in files separate and apart from other information in my possession.
• oI warrant that I will take such other steps as are necessary to safeguard the Information and to ensure that others will not be given access to the Information.

Upon termination of my term as a Board member, or upon request of the Chairperson of the Board of Regents, all Information and all copies thereof, shall be returned to the Board promptly, with a letter of certification confirming that all Information has been returned. I understand and agree that all such Information is and shall remain the property of Kentucky State University.
