## MINUTES

### I. Call to Order:

Regent Karen Bearden called the meeting of the Bylaws Committee of the Kentucky State University Board of Regents to order at 3:00 p.m. on July 24, 2014.

### II. Roll Call:

Acting Chairperson Bearden asked the Secretary to conduct the Roll Call:

Regent Mindy Barfield, Present

Regent David Guarnieri, Present

Regent Ekumene Lysonge, Present

Regent Syamala Reddy, Absent

Regent Charles Whitehead, Absent

Regent Karen Bearden, Present

Four Committee members were in attendance. There was a quorum.

### III. Opening Remarks:

Regent Karen Bearden welcomed the attendees to the Committee meeting.

### IV. Approval of Minutes:

Action: Motion was made to approve the Bylaws Committee minutes from the April 24, 2014, meeting by Regent Lysonge and seconded by Regent Barfield. The motion passed, 4-0.

### V. Discussion of Bylaw Amendments:

The Committee discussed various amendments to the draft bylaws. Changes discussed will be incorporated into the draft document for Committee review and a later meeting.

### VI. Adjournment:

Action: Motion was made to adjourn the meeting by Regent Lysonge and seconded by Regent Guarnieri. The motion passed, 4-0.

The meeting adjourned at 4:15 p.m.
