I. Call to Order

Chairperson Elaine Farris, Ed.D. called the meeting to order at 1:05 p.m.

II. Roll Call

President M. Christopher Brown II, Ph.D. conducted roll call:

Regent Elaine Farris, Ed.D. Present Regent Ron Banks Present Regent Mindy Barfield, Esq. Present Regent Paul Harnice, Esq. Present Regent Dalton Jantzen Present Regent Roger Reynolds

Six Regents were in attendance. Quorum was established.

III. Adoption of the Agenda

MOTION by Regent Barfield:

Move the Committee to adopt the agenda of the September 15, 2020 Meeting of the Evaluation and Compensation Committee as posted. Seconded by Regent Jantzen and passed without dissent.

IV. Information Item: Discussion of AGB Presidential Evaluation Process

Dr. Charlie Nelms and Ms. Elizabeth Alvarado from AGB Consulting provided an overview of the Presidential Evaluation Process. Dr. Nelms stated that it must be confidential, constructive, thorough, and timely. Ideally, the process would take three to four months. AGB will work with a staff liaison. Once the liaison is named, a timeline will be established and interviews will begin. Dr. Nelms assured the Committee that individuals would not be referenced by name in AGB's final report.

V. Action Item: Approval of Staff Liaison

MOTION by Regent Barfield:

Move the Committee to approve SVP Stamps as the liaison between the Evaluation and Compensation Committee, the Board of Regents, Dr. Nelms, and AGB.
