Chairperson Elaine Farris, Ed.D. called the meeting to order at 11:01 a.m.

### III. Adoption of the Agenda

MOTION by Regent McFayden:

Move the Board to adopt the June 27, 2019 Special Called Meeting Agenda. Seconded by Regent Banks and passed without dissent.

A. Approval of Additional National Bus Sales Leasing Contract

### IV. Action Items

MOTION by Regent McFayden:

Move the Board to the National Bus Sales Leasing Contract to lease two additional buses.

Seconded by Regent Gilmore and passed without dissent.

### B. Approval of Dining Services Agreement

MOTION by Regent Barfield:

Move the Board to approve the Dining Services Agreement. Seconded by Regent McFayden and passed without dissent.

### C. Approval of Endowment Services Management Agreement

MOTION by Regent McFayden:

Move the Board to approve the

Seconded by Regent Weaver and passed without dissent.

Regent Reynolds arrived at 11:30 p.m.

### V. Closed Session

MOTION by Regent Gilmore:

Move to go into Executive Session to discuss pending litigation and personnel matters pursuant to KRS 61.810 (1)(c) and KRS 61.810 (1)(f), respectively.

Seconded by Regent McFayden and passed without dissent.

### XI. Open Session

MOTION by Regent Gilmore:

Move the Board to reconvene in General Session.

Seconded by Regent Reynolds and passed without dissent

### XII. Adjournment

MOTION by Regent McFayden:

Move the Board to adjourn at 12:00 p.m.

Seconded by Regent Banks and passed without dissent.
