By written notice to the other party, any party may at any time designate a different address or person to which such notice or communication shall be given.

9.3 Hand Delivery. Unless otherwise provided in this Agreement, notice by hand delivery shall be effective upon receipt.

10. Default and Remedies

10.1 Remedies. If Developer fails in any way to perform or observe any material covenant, condition, or obligation contained in this Agreement and such failure continues for a period of thirty (30) days after Developer is notified by County of such failure; or if Developer voluntarily commences bankruptcy, insolvency, reorganization, stay, moratorium, or similar debtor-relief proceedings; or if insolvency, receivership, reorganization, bankruptcy, or a similar proceeding shall been commenced against Developer and such proceeding remains undismissed or unstayed for a period of ninety (90) days, Developer agrees that County may do any, all, or any combination of the following:

Halt all further approvals regarding improvements or issuance of building permits relating to the Project;
Immediately suspend Developer’s authority under this Agreement to use the Designated Roads for purposes relating to the Project by providing written notice in the manner provided in Section 10;
Invoice Developer for payment due and owing to County or complete any work to be done under this Agreement, including, without limitation, the inspection, repair or replacement of any Designated Road, or the remediation of any nuisance caused by Developer’s failure to complete any of its obligations under this Agreement, which Developer shall pay within thirty (30) days of receipt; provided that solely in the event Developer fails to pay such invoice (excluding any invoice being disputed in good faith pursuant to this Agreement), shall County be permitted, upon ten (10) days written notice to Developer, to draw on the security posted in an amount equal to the undisputed portion of such unpaid invoice;
Seek injunctive relief;
Suspend any work or improvement relating to the Project by issuing a stop work order; and/or
Take any other action at law or in equity which may be available to County.

10.2 Events of Default and Notice. Unless otherwise provided for in this Agreement, if Developer fails to perform one or more of its obligations under this Agreement, County shall give Developer formal notice of the default and Developer shall have thirty (30) days to cure the default.
