THIS LEASE AGREEMENT (this “Lease”) is made and entered into this 27th day of September, 2021, by and between the Sarasota Manatee Airport Authority, a political subdivision of the State of Florida (“Authority”), and SOUTHERN LIGHT, LLC, a Limited Liability Company, organized under the laws of the State of Alabama, and a State of Florida Public Utility possessing a Certificate of Public Convenience and Necessity from the Florida Public Service Commission, authorized to do business in the State of Florida (hereinafter referred to as the "Lessee").

WHEREAS, Authority, owns and operates the Sarasota Bradenton International Airport ("Airport"), located in Sarasota County and Manatee County, Florida; and

WHEREAS, Authority is permitted to lease land and facilities at the Airport pursuant to the Florida Statutes; and

WHEREAS, Tenant desires to lease land at the Airport from the Authority to provide fiber optic communication services at the Airport; and

WHEREAS, Authority desires to let land at the Airport to Tenant to provide fiber optic communication services at the Airport;

NOW, THEREFORE, for and in consideration of the premises and of the mutual covenants, terms and conditions herein contained, and other good and valuable consideration, the receipt of which the parties hereby expressly acknowledge, the parties hereto covenant and agree as follows:

The foregoing recitals are true and correct and are hereby incorporated herein by reference. This Lease shall become effective upon approval by the Sarasota Manatee Airport Authority Board and executed by all parties as recorded above ("Effective Date").

2.01 Commencement. The rent comment date shall be the earlier of the date Tenant occupies or begins using the Premises (or any part thereof) for development, construction, or operation of its business activities, or December 1, 2021 ("Commencement Date").

2.02 Term. The Term of this Lease shall be for a contiguous uninterrupted period of ten (10) years ("Term"), unless sooner terminated or renewed pursuant to the terms, covenants, and conditions of this Lease.
