Sway retains ownership of all Deliverables until full payment of all amounts due under this Contract (including the Past-due Balance and Deferred Payments in accordance with the terms of Schedule C – Past-Due Balance & Deferral Ledger. While the University is current on its payment obligations under this PSC, Sway grants a limited, non-exclusive, non-transferable license to use the Deliverables for marketing and enrollment activities. Sway may suspend this license if the University is more than 60 days past due on any amounts owed under this PSC. Upon full payment of all amounts owed under this PSC (including the Past-Due Balance and all Deferred Payments), Sway shall grant the University a perpetual, royalty-free license to use the deliverables for marketing and enrollment activities.
